1. Acceptance of Terms

By accessing or using iGate OS, you agree to these Terms & Conditions. If you do not agree, you must not use the platform.

2. Description of Service

iGate OS is an enterprise AI and software deployment platform providing:

  • AI application hosting
  • Workflow automation
  • Data processing tools
  • APIs and integrations

We reserve the right to modify or discontinue any part of the service at any time.

3. User Responsibilities

You agree to:

  • Provide accurate information
  • Maintain security of your account
  • Use the platform lawfully
  • Not upload illegal, harmful, or infringing content

4. Prohibited Use

You must NOT:

  • Reverse engineer or exploit the platform
  • Use the platform for unlawful activities
  • Upload malware or harmful code
  • Use AI outputs for illegal, unethical, or harmful purposes

5. Intellectual Property

  • All iGate OS technology, software, and branding are owned by iGate
  • Users retain ownership of their data
  • AI-generated content may not be unique or exclusive

6. AI Disclaimer (CRITICAL PROTECTION)

  • AI outputs may contain errors, biases, or inaccuracies
  • iGate is NOT responsible for decisions made based on AI outputs
  • Users assume full responsibility for use of generated content

7. Limitation of Liability

To the maximum extent permitted by law:

  • iGate shall NOT be liable for indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Total liability is limited to the amount paid by the user in the last 12 months

8. Indemnification

You agree to indemnify and hold harmless iGate from any claims arising from:

  • Your use of the platform
  • Violation of these terms
  • Misuse of AI outputs

9. Service Availability

We do not guarantee:

  • Continuous uptime
  • Error-free operation
  • Compatibility with all systems

10. Termination

We may suspend or terminate access:

  • For violation of terms
  • For security or legal reasons
  • At our sole discretion

11. Compliance with Laws

Users must comply with:

  • Saudi laws and regulations (including SAMA, SDAIA if applicable)
  • International laws where applicable

12. Governing Law

These Terms shall be governed by the laws of the Kingdom of Saudi Arabia.

13. Dispute Resolution

Disputes shall be resolved through:

  • Negotiation first
  • Then arbitration in Saudi Arabia

14. Force Majeure

We are not liable for delays or failure due to events beyond our control.

15. Updates to Terms

We may update these Terms at any time. Continued use means acceptance.

Enterprise Addendum

This Enterprise Addendum supplements the iGate OS Terms & Conditions and applies to enterprise customers ("Customer").

16. Scope

This Addendum governs enterprise use of iGate OS, including:

  • Dedicated environments
  • Enhanced support
  • Custom SLAs
  • Data governance requirements

17. Data Isolation & Security

17.1 Logical Isolation

iGate shall ensure strict logical separation between Customer data and other tenants using:

  • Dedicated storage partitions
  • Access control policies
  • Encryption keys segmentation (where applicable)

17.2 Optional Dedicated Infrastructure (Premium)

Customer may request:

  • Single-tenant deployment
  • Private cloud or on-premise hosting
  • Region-specific data residency

18. Service Level Agreement (SLA)

18.1 Uptime Commitment

  • Standard SLA: 99.5% monthly uptime
  • Enterprise SLA (Premium): 99.9% uptime

18.2 Support Levels

  • Standard: Business hours support
  • Enterprise: 24/7 priority support

18.3 Incident Response

  • Critical issues: Response within 1 hour
  • High severity: 4 hours
  • Normal: 24–48 hours

18.4 SLA Credits (Enterprise Only)

19. AI Training & Data Usage

19.1 Default Mode

Customer data may be used to improve AI models in anonymized and aggregated form.

19.2 Opt-Out (Paid Feature)

Customer may request:

  • Full exclusion from AI training pipelines
  • Data processing restricted to service delivery only

This feature may incur additional fees.

20. Enterprise Data Ownership

Customer retains full ownership of:

  • Uploaded data
  • Generated outputs (subject to model limitations)

iGate retains ownership of:

  • Platform technology
  • AI models and system improvements

21. Enterprise Compliance

iGate commits to alignment with:

  • Saudi data regulations (including SDAIA guidance)
  • International best practices (GDPR-inspired principles)

22. Enterprise Termination & Data Handling

Upon termination:

  • Data export available for 30–60 days
  • Data permanently deleted after retention period unless legally required

23. Precedence

This Addendum overrides standard Terms in case of conflict for enterprise customers.

API Terms of Use

24. API Access

API access is provided under license and may be revoked at any time.

25. Rate Limiting

  • Standard limits apply per API key
  • Excess usage may result in throttling, temporary suspension, or additional charges

26. Abuse Protection

You must NOT:

  • Attempt to bypass rate limits
  • Perform denial-of-service attacks
  • Use automated scraping beyond permitted scope
  • Reverse engineer APIs

27. API Security Requirements

You must:

  • Secure API keys
  • Rotate credentials regularly
  • Notify iGate of breaches immediately

28. Data Usage via API

  • API data must comply with Privacy Policy
  • You are responsible for lawful data processing

29. Monetization & Resale

  • Reselling API access requires written approval
  • White-labeling requires enterprise agreement

30. Versioning & Changes

iGate may:

  • Modify APIs at any time
  • Deprecate endpoints with notice

31. API Liability

iGate is not responsible for:

  • Integration failures
  • Third-party misuse of APIs

Payment & Refund Policy

32. Pricing & Billing

  • Services are billed on a subscription or usage basis
  • Prices may change with prior notice

33. Auto-Renewal

  • Subscriptions automatically renew unless canceled before renewal date
  • Renewal charges apply to the original payment method

34. No Refund Policy

  • All payments are non-refundable
  • No refunds for partial usage, unused credits, or subscription periods already billed

35. Refund Exceptions

Refunds may be granted ONLY if:

  • Required by law
  • Approved at iGate's sole discretion

36. Late Payments

iGate may:

  • Suspend services
  • Apply penalties or fees
  • Terminate accounts

37. Taxes

  • Prices exclude applicable taxes (VAT, etc.)
  • Customer is responsible for all tax obligations

38. Chargebacks

Unauthorized chargebacks may result in:

  • Immediate account suspension
  • Legal recovery actions

39. Enterprise Billing

Enterprise customers may:

  • Use invoicing terms
  • Agree on custom payment schedules

40. Currency

All payments processed in Saudi Riyals (SAR).

Legal & Governance Framework

41. Master Service Agreement (MSA)

41.1 Scope

This MSA governs all use of iGate OS including:

  • AI deployment
  • Data processing
  • API access
  • Enterprise services

41.2 Contract Structure

The agreement consists of: Terms & Conditions, Privacy Policy, Enterprise Addendum, SLA, DPA, AI Governance Policy, API Terms, and Payment Policy.

iGate acts as:

  • Data Processor (for customer data)
  • Technology Provider
  • NOT responsible for customer decisions or AI usage outcomes

  • Least privilege access

  • NOT a decision-maker
  • NOT liable for: AI outputs, business outcomes, customer actions
